Life in the universe means net energy flow from one region to another.
It is a law of physics that two parts of the universe that are in 
thermal equilibrium do not produce a net energy flow from one to the 
other. Without that net energy flow, there can be no work, no life, no 
activity.

So what is key for activity in the universe is higher and lower 
concentrations of energy. When everything has the same concentration of 
energy and everything is in equilibrium, then activity STOPS.

That is what heat death is.
