Dell just acquired EMC, the quiet giant of storage in a massive deal 
($65B) at about 30% over pre-talk valuation.

EMC's biggest asset is its 81% stake in VMWare - that stake alone is 
worth some $27B.

EMC tried to get acquired by HP but they passed.  (A little shy is HP in 
the lingering stink of the Autonomy acquisition and otherwise breaking 
up the co.; not adding to it).

Something about anti-trust. There are no many players in the disk
storage industry. HP, through its acquisition of Digital (via Compaq)
became a big player in the storage business.

Merging EMC into HP would have meant the reduction of competition and
would have likley been bliocked by the US and/or EU.

An acquisition by HP would have wrecked the advantages EMC has because
HP would have likely kept its own products. (keeping Digital storage
over HP's worse storage was one of the exceptions).

Dell is no different than HP in that regard.  HP passed because they are 
running in an opposite direction.  Dell have been making servers for 
decades.

How so?  It's just part of the NW of EMC.

If Dell paid $1 for EMC their stake in VMWare would still be worth $27B.
